I Party A¡¯s Responsibilities
1 Party A shall abide by the laws of this country and observe rules and regulation of Shenzhen. Party A should take full advantage of Shenzhen¡¯s resources and build a platform for Party B to conduct research projects, commercialization of research results, enterprise incubation (including distance incubation), education and training (including distance education), academic exchange and consulting. Party A shall also work together with Party B in establishing a platform to commercialize original technology, promote Party B¡¯s image at the Shenzhen Virtual University Park¡¯s web site and journal. Party A shall actively promote Party B¡¯s development in Shenzhen. Party A shall provide Party B with information on technology and training demands. Party A shall also facilitate communication and cooperation between Party B and venture capital firms.
2 Party A shall actively seek preferential policies and support Party B¡¯s investment in research and educational resources. Party A shall help Party B with enterprise registration, application for hi-tech project and hi-tech-firm status. Party A shall help Party apply for the status as a municipal research, education and commercialization center. Party A shall help Party B apply for approval to offer postgraduate education. Party A shall also help qualified chief representatives with application for Hong Kong and Macao entry pass, Residential Permit for High-Caliber Personnel and Temporary Residential Permit.
3 Each year Party A shall allocate some funds from government appropriation to support Party B¡¯s commercialization of its research achievements, establishment of internship centers for graduate students, research-education-commercialization bases, introduction of key laboratories and engineering centers.
4 Party A shall organize annual board meetings, where the previous lessons learned will be drawn and plans for future development in the University Park and the University Technology Park will be deliberated.
5 Party A shall provide comprehensive and high-quality services for residential member universities.
6 According to provisions by Shenzhen Virtual University Park¡¯s Technology Park, Party A shall provide an office free of lease or property management charges. Party A shall also provide office furniture and equipment including a large desk, three desk-chair sets, a document wardrobe, a computer, a telephone set, an Internet connection port. (Party A owns the above-mentioned furniture and equipment). Party A shall provide at favorable prices project incubation spaces, meeting rooms, VIP rooms, lecture halls, vehicle, printing and secretarial services.
7 Party A shall offer a monthly stipend of RMB500 for residential chief representatives. (According to attendance, each member university is entitled to a monthly stipend not exceeding RMB1,000 ), birthday stipend and 50-percent subsidy for yearly health check-up.
8 Party A shall recognize member universities and residential representatives for their extraordinary contribution to Shenzhen¡¯s economic development. Party A shall provide financial assistance to qualified internship centers, enterprises in incubation and successful commercialization of research results.
9 Party A shall standardize management rules in the Shenzhen Virtual University Park, establish an approval system for (residential) chief reprehensives¡¯ business trips to Hong Kong, Macao and leave application and approval system.
10 Party A shall store archive of party B¡¯s development Shenzhen (including unversity¡¯s document, work plan and summary, agreements and major events.)
Party B¡¯s Responsibilities
1 Party A shall abide by the laws of this country and observe rules and regulation of Shenzhen and the Shenzhen Hi-Tech Industrial Park. Party A should take full advantage of its effective resources to commercialize research results, research, develop and incubate hi-tech products and train high-caliber personnel.
2 Party A shall be active in introducing national key laboratories, engineering centers, establishing research organizations and internship centers for postgraduates in Shenzhen, organize experts and task forces to conduct strategic analysis and technical breakthroughs in response to Shenzhen¡¯s macroeconomic, industrial and corporate development.
3 Party B shall give legal authorization to the residential chief representative. The letter of appointment shall be delivered to Party A for filing. Party B shall authorize its research institute in Shenzhen to implement various tasks for and in the name of Party B. Party B can also employ staff or liaison officers in Shenzhen. But Party B must file relevant information with Party A.
4 In order for Party A to fully understand and support Party B¡¯s development in Shenzhen, Party B shall submit work report for the previous and work plan for the current year within the first quarter.
5 Qualification requirements for chief representatives: He or she must have worked for Party B for a least five years. He or she must have served as an officer above deputy bureau chief (or medium technical qualifications). He or she must be in good health and be able to remain in Shenzhen on a long-term basis. Persons, outside a member university¡¯s registered staff, cannot serve as chief representatives (Hong Kong and overseas universities are exempted from this rule.)
6 Party B shall provide a stipend of equivalent position or technical proficiency in the Shenzhen Special Economic Zone, medical and other insurances and a subsidy of 50 percent to the residential chief representative.
7 As required by the Board, Party B shall dispatch a deputy president or an official of higher position to attend he board meeting of the Shenzhen Virtual University Park. During important reception or protocol events, Party B shall follow Party A¡¯s arrangement and support such events. Party B shall be active in supporting and monitoring the performance of the SVU¡¯s service center.
8 Party B shall keep office equipment and furniture intact. Party B agrees to pay for any damages or losses.
9 Party B shall be responsible for utilities and air-conditioning charges in its office.
10 Party B shall support the SVUP¡¯s effort in promoting publicity and wide application of information technology. Party B shall provide at least 20 items of information about the member university¡¯s research achievements and 10 items of other information. Party B shall contribute at least 2 articles to Shenzhen Virtual University Park Journal. Party B shall provide Party A with its latest publicity information, university journals and university flas (at least three each year).
IIOther Articles
1 Only those Party B entities funded by Shenzhen Government can set up their offices in the common office areas provided by Party A.
2 If Party B does not have an independent office, it can work in the coomon office of the Shenzhen Virtual University Park.
3 In order to ensure effective usage of office areas, Party A reserves the right to take back allocated to Party B if Party B does not dispatch a chief representatives in 6 months or the chief reprehensive does not check in three months after receiving Party A¡¯s written notice. Staff employed by Party B shall be transferred to the common office. (Normally not more than 2 staff can work in the common office). In these circumstances, chief representatives must work in the common office for at least three months before Party A can decide to allocate an office subject to actual conditions.
III Article for Agreement Termination
When either party violates provisions in Details of Admission Agreement, the other party can propose to terminate the agreement.
IV Supplemental Articles
1 Circumstances not covered in the Details of Admission Agreement are subject to discussion between the two parties.
2 The Details of Admission Agreement shall take effect upon signing by both parties.
